Parties:

Member 1: ABC Holdings LLC

Member 2: XYZ Investors Inc.

Purpose:

The purpose of this limited liability company (LLC) is to engage in the business of real estate investment, development, and management, as specified herein.

Capital Contributions:

Members shall contribute capital as mutually agreed upon, with contributions documented in Schedule A attached hereto.

Management Structure:

The company shall be managed by its members unless otherwise specified. Decisions shall require approval by a majority (or specified percentage) of members.

Profit and Loss Sharing:

Dissolution:
