Lead Generation Agreement Sample (US)

Parties Involved:

Lead Provider: XYZ Leads LLC
Address: 123 Main Street, Dallas, TX 75201

Client: ABC Business Inc.
Address: 456 Commerce Ave, Dallas, TX 75202

Scope of Services:

The Lead Provider agrees to generate and deliver qualified leads to the Client as specified in this agreement. The leads shall include contact details and relevant information necessary for follow-up and conversion.

Compensation Terms:

The Client shall pay the Lead Provider a fee of $X per qualified lead delivered, or a percentage-based commission as agreed upon. Payment shall be due within Y days of lead delivery.

Lead Provider Responsibilities:

The Lead Provider shall use best efforts to generate genuine, qualified leads and shall ensure compliance with all applicable laws and regulations.

Client Responsibilities:

The Client shall provide clear criteria for lead qualification and promptly communicate with generated leads for conversion purposes.

Confidentiality:

Both parties agree to maintain the confidentiality of proprietary information and not disclose such information to third parties without prior consent.

Governing Law:

This agreement shall be governed by and construed in accordance with the laws of the State of Texas. Disputes shall be resolved within the courts of Dallas County.

Additional Provisions:

  • The Lead Provider shall not make false or misleading claims regarding the client’s products or services.
  • This agreement may only be amended in writing signed by both parties.
  • Payments are non-refundable once processed, unless otherwise agreed.
