Parties Involved:

Licensor: ABC Innovations Inc.
Address: 123 Innovation Drive, Cityville, CA 90001

Licensee: XYZ Manufacturing Ltd.
Address: 456 Industrial Road, Townsville, CA 90002

Licensed Asset:

The licensed intellectual property includes patent rights for the technology described as “Advanced Widget System,” as specified in Schedule A attached hereto.

Royalty Terms:

The licensee shall pay the licensor a royalty of 8% of gross revenue derived from the sale or use of the licensed product, payable quarterly within 30 days of each quarter’s end.

Licensor Responsibilities:

The licensor shall provide the necessary documentation and support related to the licensed rights, and shall not interfere with the licensee’s commercial efforts.

Licensee Responsibilities:

The licensee shall diligently develop, manufacture, and sell the licensed products in accordance with agreed standards and shall maintain accurate records of sales for royalty reporting.
