Purpose of Disclosure:
The disclosing party intends to share confidential information regarding a new business idea to evaluate potential collaboration. This agreement governs the handling of such confidential information.
Confidential Information:
Includes any non-public, proprietary information related to the business idea, including but not limited to documents, drawings, technical data, and business plans provided during discussions or in written form.
Obligations of Receiving Party:
The receiving party shall keep all disclosed information strictly confidential, shall not disclose to third parties without prior written consent, and shall use the information solely for evaluating the business opportunity.
Exceptions to Confidentiality:
Information that is publicly available, already known to the recipient prior to disclosure, or independently developed shall not be considered confidential.
Term of Agreement:
