Parties Involved:

Purpose of Disclosure:

The parties intend to share certain confidential and proprietary information for the purpose of evaluating a potential business relationship or collaboration.

Confidential Information:

“Confidential Information” includes all written, electronic, or oral information exchanged between the parties that is designated as confidential or that reasonably should be understood as confidential.

Obligations of Parties:

Both parties agree to keep all Confidential Information strictly confidential, to use it solely for the Purpose specified, and not to disclose it to any third parties without prior written consent.

Term:

This Agreement shall commence on the Effective Date and continue for a period of two (2) years, unless terminated earlier by written agreement of both parties.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflicts of law principles.

Additional Provisions:

  • Both parties acknowledge that damages for breach of this Agreement may be difficult to ascertain and agree that injunctive relief is an appropriate remedy.
  • This Agreement may only be amended in writing signed by both parties.
  • Upon termination, the Receiving Party shall promptly return or destroy all Confidential Information received.
