Sample Non-Compete & Non-Disclosure Agreement (US)
Parties:
Disclosing Party: ABC Corporation

Confidential Information:
Any proprietary or confidential information disclosed by the Disclosing Party to the Receiving Party, whether in written, oral, or electronic form, shall be protected as per this agreement.
Non-Compete Obligation:
The Receiving Party agrees not to engage in any business directly competing with the Disclosing Party within a radius of 50 miles for a period of two years following the termination of this agreement.
Duration:
This Agreement shall commence on the date signed below and continue for a period of two (2) years unless terminated earlier in accordance with this document.
Obligations:
The Receiving Party shall maintain the confidentiality of all proprietary information and refrain from any unauthorized disclosures or use thereof. Governing Law:

- The Receiving Party shall return or destroy all confidential information upon termination of this agreement.
- This agreement does not grant any license or rights to the Receiving Party beyond the scope of confidentiality and non-compete obligations outlined herein.
