Sample Non-Compete & Non-Disclosure Agreement (US)

Parties:

Disclosing Party: ABC Corporation

Receiving Party: John Doe

Confidential Information:

Any proprietary or confidential information disclosed by the Disclosing Party to the Receiving Party, whether in written, oral, or electronic form, shall be protected as per this agreement.

Non-Compete Obligation:

The Receiving Party agrees not to engage in any business directly competing with the Disclosing Party within a radius of 50 miles for a period of two years following the termination of this agreement.

Duration:

This Agreement shall commence on the date signed below and continue for a period of two (2) years unless terminated earlier in accordance with this document.

Obligations:

The Receiving Party shall maintain the confidentiality of all proprietary information and refrain from any unauthorized disclosures or use thereof. Additionally, the Receiving Party shall not solicit or attempt to engage in business with clients or contacts gained through the Disclosing Party during the term of this agreement.

Governing Law:

This agreement shall be governed by and construed in accordance with the laws of the State of New York. Any disputes shall be subject to the exclusive jurisdiction of the courts located in New York County.

Additional Provisions:

• Both parties agree that any modifications to this agreement must be in writing and signed by both parties.
• The Receiving Party shall return or destroy all confidential information upon termination of this agreement.
• This agreement does not grant any license or rights to the Receiving Party beyond the scope of confidentiality and non-compete obligations outlined herein.
