Basic Service Agreement Sample (US)
Parties Involved:
Service Provider: XYZ Consulting LLC
Address: 123 Business Ave., New York, NY 10001
Client: Acme Corporation
Address: 456 Corporate Road, New York, NY 10022
Scope of Services:
The Service Provider agrees to perform the services specified in Schedule A attached hereto, including but not limited to consulting and support services as outlined in this agreement.
Term:
This Agreement shall commence on the date signed below and continue for a period of twelve (12) months, unless terminated earlier in accordance with this Agreement.
Payment:
The Client shall pay the Service Provider a fee of $X,XXX per month, payable within 15 days of receipt of an invoice, as detailed in Schedule B.
Responsibilities of Parties:
The Service Provider shall perform the services diligently and professionally, maintaining confidentiality. The Client shall provide necessary resources and access as reasonably required for the Service Provider to perform its duties.
Governing Law:
This agreement shall be governed by the laws of the State of New York. Any disputes shall be resolved in the courts of New York County.
Additional Provisions:
