Parties Involved:

Service Provider: XYZ Payment Solutions LLC
Address: 123 Commerce Blvd, New York, NY 10001

Client: ABC Retailer Inc.
Address: 456 Market Road, New York, NY 10002

Purpose of Agreement:

This No Chargeback Agreement sets forth the terms under which the Service Provider shall not accept or process chargebacks or disputes initiated by the Client regarding payment transactions processed under this agreement.

Terms and Conditions:

  • The Client agrees not to initiate chargebacks or disputes with issuing banks or payment processors for transactions covered by this agreement.
  • The Service Provider shall not be liable for any chargebacks or disputes that occur despite the Client’s agreement not to pursue such actions.
  • In case of disputes, the Client shall resolve issues directly with the Service Provider and cooperate in good faith.

Term and Termination:

This agreement shall be effective from the date signed and continue until terminated in writing by either party with at least 30 days’ notice.

Governing Law:

This agreement shall be governed by the laws of the State of New York. Any disputes shall be subject to the jurisdiction of the courts in New York County.

Additional Provisions:

  • The Client understands and acknowledges the risks associated with chargebacks and agrees to hold the Service Provider harmless in such cases.
