White Label Agreement US Sample

Parties Involved:

Provider: XYZ Software Solutions
Address: 123 Silicon Valley Road, San Jose, CA 95124

Partner: ABC Reseller LLC
Address: 456 Commerce Street, Los Angeles, CA 90017

Product/Service Description:

The provider shall supply the white label platform, including branding customization, to the partner for resale under the partner’s brand, as detailed in exhibit A.

Terms & Conditions:

The partner shall operate the platform under their own brand, adhering to provider standards, and shall not modify the core functionality without prior approval. The provider grants the partner a non-exclusive license for the duration of this agreement.

Revenue & Payment Terms:

The partner shall pay the provider a licensing fee of $X per month, or a percentage of generated revenue, payable within 30 days of invoice. Revenue sharing details are outlined in exhibit B.

Partner Responsibilities:

The partner will market and resell the platform, provide customer support, and ensure compliance with applicable laws and brand standards. The provider shall support with technical assistance as needed.

Governing Law:

This agreement shall be governed by the laws of the State of California. Disputes will be resolved within the courts of Santa Clara County.

Additional Provisions:

  • Both parties agree to confidentiality of proprietary information.
  • This agreement may be amended only in writing signed by both parties.
  • Either party may terminate with 60 days written notice, subject to settlement of outstanding fees.
